1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between KHB Group ("KHB", "we", "us", "our") and you ("Customer", "you") governing access to and use of our website https://khb.hk/ and our Enterprise AI Influence Platform, including GEO Master, VIP Service, AI Board, KAIF™ Methodology, and AI Checkup, together with any related advisory services (collectively, the "Services").

By accessing the website, signing a proposal, or otherwise using the Services, you confirm that you have read and accepted these Terms on behalf of yourself and any entity you represent. If you do not agree with any part of these Terms, you must not access or use the Services.

2. Description of Services

The Services comprise a research-driven platform and advisory practice focused on AI influence — engineering how generative AI models perceive, cite, and recommend our customers' brands. The Services include AI visibility diagnostics, KAIF™ methodology engagement, ongoing advisory, and enterprise platform access through the products identified above. Specific deliverables, fees, timelines, and success metrics for each engagement are defined in the applicable Statement of Work ("SOW") or order form signed by both parties.

Where any SOW conflicts with these Terms, the SOW prevails for the specific engagement only; these Terms continue to govern all other matters.

3. Eligibility & Account

You may use the Services only if you are at least 18 years old and capable of entering into a binding contract under the laws of the Hong Kong Special Administrative Region. If you act on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

For enterprise platform access, you must maintain accurate account credentials, protect them from unauthorized disclosure, and remain responsible for all activity under your account. You agree to notify us promptly at info@khb.com of any suspected compromise.

4. Acceptable Use

You agree not to, and not to permit any third party to:

Use the Services to manipulate AI model behavior in a manner that is unlawful, deceptive, or that violates any applicable AI regulation or third-party model acceptable-use policy.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or proprietary models of the platform.
Scrape, crawl, or exfiltrate data, prompts, or outputs from the platform beyond the scope expressly granted in your SOW.
Resell, sublicense, or redistribute access to the platform without prior written consent.
Introduce malware, conduct security testing, or attempt unauthorized access to the platform infrastructure.
Use the Services to harm the reputation, visibility, or rights of any third party, including competitors.

Violations may result in immediate suspension of access and termination of the engagement under Section 12.

5. Intellectual Property

All right, title, and interest in the platform, the KAIF™ Methodology, the AI Board agents, research models, brand assets, and all related documentation remain the exclusive property of KHB Group. No ownership or license is granted to you except as expressly set out in your SOW.

You retain all rights in the brand assets, data, and content you provide for the engagement ("Customer Materials"). You grant KHB a non-exclusive, worldwide, royalty-free license to use Customer Materials solely to deliver the Services and to anonymize and aggregate results for internal benchmarking and methodology improvement, never in a manner that identifies you publicly without separate consent.

Deliverables created for you (such as diagnostic reports and influence playbooks) are licensed to you for internal business use upon full payment of the applicable fees. You may not resell or publicly distribute such deliverables without written consent.

6. Payment & Fees

Fees for each engagement are described in the applicable SOW and are quoted in the currency specified therein. Unless otherwise stated, all fees are exclusive of applicable taxes, including Hong Kong GST where applicable, which you are responsible for paying.

Subscription plans — billed in advance on a monthly or annual cycle. Annual plans are invoiced in full at the start of the cycle.
Advisory fees — billed per milestone or per month as defined in the SOW. Reasonable out-of-pocket expenses (such as travel) are billed at cost with receipts.
Late payment — invoices are due within 30 days. Overdue amounts accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.

6.1 Refund Policy

For the first engagement between you and KHB, you may request a refund within 14 days of the engagement start date, on a pro-rata basis for services not yet delivered. After this 14-day window, or for any subsequent engagement, fees are non-refundable except where KHB is in material breach of its obligations. Refunds, where due, are processed within 30 days to the original payment method.

7. Confidentiality

Each party agrees to protect the other party's confidential information — including business strategy, brand positioning data, AI influence targets, pricing, and any non-public platform information — using at least the same care it uses for its own confidential information, and not less than reasonable care. Confidential information may be shared only with employees, advisors, and subprocessors who have a need to know and are bound by equivalent confidentiality obligations.

Confidentiality obligations survive termination of these Terms for a period of 5 years, except for trade secrets, which survive indefinitely. The obligations of KHB under our Privacy Policy are incorporated by reference into this Section.

8. Disclaimers

The Services are provided on the basis set out in our Disclaimer, which is incorporated into these Terms by reference. In particular, you acknowledge that AI model behavior is governed by third parties we do not control, and that no specific visibility, citation, or recommendation outcome is guaranteed.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall KHB, its affiliates, or its suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or related to these Terms or the Services.

KHB's total aggregate liability for all claims arising out of or related to these Terms or the Services shall not exceed the fees paid by you to KHB in the 12 months preceding the event giving rise to the claim. This limitation does not apply to liability for death or personal injury caused by negligence, fraud, or willful misconduct, or to any liability that cannot be excluded under applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless KHB Group, its affiliates, and their respective directors, officers, employees, and agents from and against any third-party claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your Customer Materials; (b) your breach of these Terms; (c) your violation of any law or third-party rights, including AI model acceptable-use policies; or (d) your use of the Services outside the scope of your SOW.

KHB will provide you with prompt written notice of any claim for which indemnity is sought and reasonable cooperation in the defense, and you may not settle any claim that imposes liability on KHB without our prior written consent.

11. Term & Termination

These Terms take effect when you first access the Services or sign an SOW and continue until all engagements are completed or terminated.

Termination for convenience — either party may terminate an ongoing engagement with 30 days' written notice to the other. Fees for services delivered up to the effective termination date remain payable.
Termination for breach — either party may terminate immediately upon written notice if the other party materially breaches these Terms and fails to cure the breach within 14 days of written notice. Termination is immediate for breach of confidentiality, acceptable use violations, or non-payment exceeding 60 days.
Effects of termination — upon termination, all licenses granted to you cease, you must cease using the platform, and KHB will return Customer Materials within a reasonable period, subject to retention required by law or our records retention policy.

12. Governing Law

These Terms and any dispute arising out of or related to them are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws principles. The parties submit to the non-exclusive jurisdiction of the Hong Kong courts.

Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, validity, or breach thereof, shall be finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force at the time of the arbitration. The seat of arbitration is Hong Kong; the number of arbitrators is one; the language of the arbitration is English.

13. Changes to Terms

We may update these Terms from time to time. For material changes (including changes to fees, liability, or governing law), we will provide at least 30 days' notice via email to your billing contact and by posting a notice on our website before the changes take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
